TERMS AND CONDITIONS

Revised Edition – [01/07/2026]

  1. Definitions and Effect of Conditions

These Terms and Conditions constitute the agreement between SLA Tools & Site Services LTD (“SLA”, “we”, “us”, “our”) and the buyer/customer (“the Customer”, “you”, “your”), and replace all previous Terms and Conditions.

The Customer accepts that any order placed verbally or in writing shall be subject solely to these Terms and Conditions.

No variation or amendment to these Terms shall have effect unless agreed in writing by a Director or authorised representative of SLA Tools & Site Services LTD.

  1. Payment

Unless a credit account has been opened and approved in writing, payment for all goods, repairs and services must be made in full before further work is undertaken or goods are released.

Prices quoted are ex-works, and the Customer shall be responsible for any additional costs relating to postage, carriage, transportation, packaging or delivery.

The Customer shall not be entitled to withhold payment, deduct monies, or offset any alleged debt or claim unless a credit note has first been authorised and issued by SLA.

Cancelled orders for special or non-stock items may incur a minimum 20% handling charge.

  1. Credit Accounts

Credit facilities will only be deemed open once written confirmation has been issued by SLA.

Until written approval has been received, payment must be made prior to collection or delivery.

Where account facilities have been granted, invoices are payable by the end of the month following the invoice date.

SLA reserves the right to charge statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998 on overdue accounts.

Should an account exceed its agreed credit limit, SLA reserves the right to suspend the account without notice and withhold further goods or services until payment has been made.

SLA reserves the right to cancel credit facilities at any time, whereupon all outstanding balances become immediately due.

  1. Estimates

Any quotation or estimate supplied shall be deemed to be for guidance purposes only.

SLA reserves the right to increase agreed costs where additional work becomes necessary for satisfactory completion of repairs or supply of goods. We will endeavour to inform the Customer before additional work proceeds.

The price payable shall be the price specified on the date on which SLA notifies the Customer that goods are available for collection or delivery (“the notification date”), notwithstanding any previous estimate or quotation.

Diagnostic inspections and estimates for all equipment are subject to a £45 inspection/estimate fee per item.

If the Customer proceeds with repair work following the estimate, the £45 fee shall be deducted from the final repair invoice.

If the Customer chooses not to proceed with repairs, or the repair is declined after an estimate has been prepared, the estimate fee remains payable and is non-refundable.

SLA reserves the right to advise the Customer of any additional inspection or specialist diagnostic charges before further work is undertaken.

Equipment dismantled for inspection or estimate purposes may be returned in its dismantled state should the Customer decide not to proceed with repairs. Reassembly will incur additional labour charges.

In accepting repair work, SLA accepts no responsibility for future equipment failure unless a specific written guarantee has been provided.

SLA may offer the option of manufacturer inspection. The Customer shall be liable for any associated charges, including transport and inspection costs.

Goods dismantled for inspection or estimate purposes may be returned in their estimated condition unless otherwise agreed.

  1. Existing Condition of Equipment

Equipment submitted for repair may contain pre-existing wear, corrosion, hidden faults or defects that may not be visible during initial inspection.

SLA accepts no liability for failures arising from pre-existing faults discovered during or after repair work.

  1. Delivery and Collection

Any delivery dates or times provided by SLA are estimates only and shall not form part of the contract.

Unless otherwise agreed, collection of goods remains the responsibility of the Customer.

Risk in goods passes to the Customer upon collection or delivery.

Equipment not collected within 14 days of notification may incur storage charges.

Equipment remaining uncollected for 30 days after notification may be treated as abandoned.

SLA reserves the right, after reasonable notice, to sell or dispose of goods in order to recover outstanding debts, storage fees and associated costs.

Any surplus funds remaining after costs and debts have been settled shall be returned to the Customer.

  1. Retention of Title

Ownership of goods and repaired equipment shall remain with SLA until payment has been received in full.

Risk for safe custody transfers upon delivery or collection.

  1. Defects and Quality of Goods

SLA’s liability in relation to supplied goods is limited to transferring to the Customer any manufacturer’s warranty rights where applicable.

The Customer must inspect goods immediately upon receipt.

Shortages, damage or defects must be reported within three days of receipt.

Failure to notify SLA within this period may invalidate any claim.

Repairs undertaken by SLA carry a one-month warranty solely on the specific repair work performed.

This warranty excludes:

  • fair wear and tear
  • misuse
  • accidental damage
  • incorrect fuels or lubricants
  • customer modifications
  • unauthorised disassembly
  • unrelated component failures

Where necessary, SLA may arrange inspection by manufacturers or independent assessors.

SLA shall not accept liability for independent inspections arranged without prior written approval.

  1. Limitation of Liability

SLA shall not be liable for indirect or consequential losses including but not limited to:

  • loss of profit
  • loss of earnings
  • business interruption
  • equipment downtime
  • hire costs
  • delayed projects
  • loss of contracts
  • crop losses
  • loss of opportunity

SLA’s liability shall not exceed the value of the work undertaken.

Nothing within these Terms excludes liability for death or personal injury caused by negligence where such exclusion is prohibited by law.

  1. Force Majeure

SLA shall not be liable for delays or failures caused by circumstances beyond our reasonable control including but not limited to:

  • severe weather
  • supplier shortages
  • transportation disruption
  • strikes
  • acts of God
  • fire

  1. Data Protection

Customer information may be retained and processed for administration, accounting and contractual purposes in accordance with applicable UK data protection legislation.

  1. General

Each item supplied or repaired shall be deemed the subject of a separate agreement.

Failure to deliver one item shall not entitle the Customer to reject other goods or services.

Except where expressly provided within these Terms, SLA shall have no obligation to compensate the Customer for any alleged breach, negligence or claim.
