TERMS AND CONDITIONS

Revised Edition – [01/07/2026]

  1. Definitions and Application

These Terms and Conditions constitute the agreement between SLA Tools & Site Services Ltd (“SLA”) and the buyer/customer (“the Customer”) and supersede all previous terms and conditions issued by SLA.

Any order placed verbally or in writing by the Customer shall constitute acceptance of these Terms and Conditions.

No amendment or variation shall be effective unless agreed in writing by a Director or authorised representative of SLA.

  1. Payment

Unless a credit account has been approved in writing, payment in full shall be made before goods are released to the Customer.

Unless otherwise agreed in writing, all prices are quoted ex works and are exclusive of carriage, delivery charges and VAT where applicable.

Orders cancelled after goods have been specially ordered or processed may incur a minimum handling/restocking charge of 20%, together with any delivery, carriage, shipping or return costs incurred by SLA.

No deductions, set-offs or withholding of payment shall be made by the Customer unless authorised by an official SLA credit note.

  1. Quotations and Pricing Validity

All quotations issued by SLA Tools & Site Services Ltd (“SLA”) are valid for 7 calendar days from the date of issue unless otherwise stated in writing.

Quotations may also become invalid before expiry where SLA is notified of supplier or manufacturer price increases, changes in availability, increased transport costs, material cost increases, import costs, exchange rate fluctuations, or other circumstances beyond SLA’s reasonable control.

All quotations are subject to product availability and do not constitute a binding contract until accepted by the Customer and confirmed by SLA.

In the event that supplier or manufacturer pricing changes unexpectedly after quotation acceptance but prior to procurement or dispatch, SLA reserves the right to notify the Customer and revise pricing accordingly. In such circumstances, the Customer shall have the option to cancel the affected order without penalty.

  1. Credit Accounts

Credit facilities shall only be deemed active once written confirmation has been provided by SLA.

Until written confirmation is received, payment shall be required before dispatch or collection.

Where credit facilities have been granted, all invoices shall be payable by the end of the month following the invoice date unless otherwise agreed in writing.

SLA reserves the right to charge statutory interest and compensation in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 on overdue accounts.

If an account exceeds its agreed credit limit, SLA reserves the right to suspend further supply without notice until the account is brought within agreed terms.

SLA reserves the right to withdraw credit facilities at any time and require immediate settlement of outstanding balances.

  1. Defects and Quality of Goods Supplied

For new goods and equipment, SLA’s liability is limited to transferring to the Customer the benefit of any manufacturer warranty where applicable.

The Customer or recipient shall inspect all goods immediately upon collection or delivery.

Any shortages, damages or defects must be clearly noted at the time of delivery and reported to SLA within 5 working days.

Failure to comply with this requirement may invalidate any claim.

Where goods are collected directly from SLA premises, inspection must take place before goods leave the premises.

For reconditioned tools repaired or refurbished by SLA, a warranty period of one month applies from the date of collection or delivery.

This warranty shall not apply where goods have:

  • been misused
  • suffered accidental damage
  • been used incorrectly
  • been modified or dismantled
  • used unsuitable fuels or lubricants
  • been subjected to operator error

Defective goods must be returned promptly to SLA for inspection.

SLA reserves the right to arrange inspection by the manufacturer or an independent assessor where necessary.

No liability shall be accepted for third-party inspections arranged by the Customer without prior written agreement from SLA.

  1. Delivery and Collection

Any delivery dates or times quoted by SLA are estimates only and shall not form part of the contract.

SLA shall not be liable for delays in delivery beyond its reasonable control.

Unless otherwise agreed, the Customer remains responsible for arranging collection of goods.

Items ordered and remaining uncollected after one month may be resold by SLA to recover costs and outstanding balances.

Uncollected goods may incur:

  • a minimum 20% handling charge
  • storage charges where applicable
  • carriage and return costs incurred
  1. Returns Policy

Returns of non-faulty goods shall only be accepted with prior agreement from SLA.

Accepted returns may be subject to handling or restocking charges.

Special-order items or non-stock items may not be eligible for return.

  1. Retention of Title

Title to all goods supplied by SLA shall remain with SLA until payment has been received in full for:

  • goods supplied
  • repair work undertaken
  • any outstanding sums owed by the Customer

Risk in the goods passes to the Customer upon collection or delivery.

  1. Limitation of Liability

SLA’s total liability arising under or in connection with any contract shall not exceed the value of the goods or services supplied.

SLA shall not be liable for:

  • loss of profit
  • loss of business
  • downtime
  • indirect losses
  • consequential losses
  • economic loss

Nothing in these Terms shall exclude liability for death or personal injury caused by negligence or any liability which cannot legally be excluded.

  1. Force Majeure

SLA shall not be liable for delays or failures arising from circumstances beyond its reasonable control including but not limited to:

  • acts of God
  • fire
  • flood
  • adverse weather
  • strikes
  • supply chain disruption
  • transport failures
  • shortages of materials
  • government restrictions
  1. General

Each item supplied shall be considered a separate agreement and the Customer shall not be entitled to reject any goods due to delays or issues affecting separate items.

Failure by SLA to enforce any provision of these Terms shall not constitute a waiver of any rights.

If any provision is found unenforceable, the remaining provisions shall remain valid.

  1. Data Protection

Any personal information supplied by the Customer shall be processed in accordance with applicable UK data protection legislation.

  1. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.
